Corporate Legal Counsel

As our Legal team continues to grow and has now expanded to 15+ professionals, we are looking for a Corporate Legal Counsel to join us and play a key role in expanding our corporate group through the incorporation of entities in new jurisdictions, while also supporting and maintaining Amusnet’s existing group companies worldwide. We are looking for a professional who combines strong expertise in corporate and company law with a practical understanding of corporate governance, group structures, and cross-border corporate support, as well as honesty, openness, and a genuine team-player mindset.

 

 

THE PERFECT TEAM MEMBER WILL:

 

  • Take the lead, in close collaboration with local legal advisors, in preparing, reviewing, finalizing, and managing incorporation documents, including shareholder resolutions, powers of attorney, constitutional documents (such as articles of incorporation, articles of association, bylaws, and similar formation documents), as well as any other corporate documentation required for the incorporation of companies in foreign jurisdictions
  • Provide end-to-end legal support for the incorporation of group entities across multiple jurisdictions, from the initial structuring and entity setup phase through to operational readiness, ensuring that all legal steps are completed accurately, efficiently, and in line with applicable local requirements
  • Review and finalize management agreements, employment agreements, lease agreements, and any other contractual arrangements required to support the operational setup, launch, and commencement of the business activities of the relevant group entity
  • Lead and coordinate, in close collaboration with local legal advisors, all pre- and post-incorporation processes for the relevant group companies, including KYC and AML procedures, bank account opening, and the completion of all mandatory registrations, notifications, and corporate formalities required for the relevant entities to become fully operational
  • Manage legalization, notarization, apostille, registration, filing formalities, and all related corporate and regulatory actions required for the incorporation, operational readiness, and ongoing maintenance of entities across multiple jurisdictions, where applicable, while ensuring proper coordination with internal stakeholders and external advisers
  • Draft, maintain, and update internal group policies, ensuring alignment with applicable legal requirements, corporate governance standards, internal practices, and the operational needs of the business, while supporting consistency and effective implementation across the group
  • Participate in external training on legal matters and professional development initiatives, including seminars, courses, and other continuing education programs

 

THE SKILLS THAT WILL GRAB OUR ATTENTION:

 

  • 5+ years of relevant post-qualification experience, gained in-house, preferably within a holding company structure, and/or at a reputable full-service law firm, with a strong focus on corporate and company law, corporate governance, and cross-border corporate support, governance matters, and the ongoing maintenance of local and international entities
  • Practical experience in supporting incorporations across multiple jurisdictions and coordinating effectively with local legal advisors, consultants, and public authorities
  • Good understanding of the key principles and processes involved in entity setup and ongoing maintenance, including registrations, filings, KYC/AML procedures, and other related corporate and compliance requirements
  • Experience in preparing corporate legal due diligence reports and conducting corporate reviews as part of M&A transactions, with a focus on corporate structure, governance, ownership, and compliance matters, would be considered an advantage
  • Experience in reviewing and finalizing agreements related to the operational setup of entities, including management agreements, employment agreements, lease agreements, and other contractual arrangements required for the commencement of business activities
  • Experience in drafting, maintaining, and updating internal group policies in line with applicable legal requirements and business needs would be considered an advantage
  • Proficiency in English, knowledge of another major language would be considered an advantage
  • Strong critical thinking, analytical, and legal drafting skills, with the ability to assess complex matters carefully and maintain a high degree of accuracy and attention to detail
  • A proactive and self-motivated professional, eager to take initiative, assume ownership, and play an active role in driving legal matters and projects forward
